As a part of the group’s effort for employee development and performance, Capgemini is offering a new employee share ownership plan (ESOP). The programme is open for approximately 97 per cent of the employees and will be implemented through a capital increase reserved for the Capgemini employees for a maximum of 3,200,000 shares.
Employees will have the opportunity to participate in Capgemini shares through subscription plans that include leveraged and guaranteed options. These plans will enable them to secure the invested amount until the shares are accessible, ensuring a certain level of protection.
Additionally, voting rights will be exercised by those holding the shares, which may vary depending on the specific plan and circumstances. These holders could include an FCPE (Fonds Commun de Placement d’Entreprise), employees through direct share ownership, and/or the financial institution coordinating the offer or its associated parties.
This is the tenth plan in the ESOP offerings from the company that will help maintain employee shareholding at around 8 per cent of Capgemini SE’s share capital. Furthermore, the outlined timeline for this purpose will be open from 15 September to 4 October, 2023 (inclusive), followed by a subscription/revocation period from 13 November to 15 November, 2023 (inclusive). The pricing for the new shares will be determined on 10 November 2023, and the augmentation of share capital will be finalised on 19 December, 2023.
The execution of the leveraged guaranteed offering involves hedging transactions conducted by the financial institution responsible for organising the offer. For this tenth programme, Crédit Agricole Corporate and Investment Bank will be offering these transactions. These transactions may occur either in the market or off-market and may include actions such as buying and/or selling shares, acquiring call options, or any other relevant transactions.
