Australian mining company Metal Bank has issued 15 million fully-paid ordinary shares under its employee incentive plan, according to a regulatory filing lodged with the Australian Securities Exchange (ASX).
The shares were issued at nil consideration, meaning the company did not raise any funds through the transaction. The issuance was disclosed through an Appendix 3B filing, which records changes to a listed company’s issued share capital.
The newly-issued securities are fully-paid ordinary shares and rank equally with the company’s existing ordinary shares, according to the filing. The transaction adds 15 million shares to Metal Bank’s issued capital, although the company has not disclosed its total share count following the issuance.
Metal Bank has not identified the individual recipients or disclosed how many employees or other eligible participants received the shares. The filing also does not provide details of the vesting conditions, allocation criteria or other terms associated with the grant.
Employee incentive plans are used by listed companies to provide equity-based compensation to eligible employees and other participants. Such arrangements can link a portion of compensation to the company’s equity and give recipients an ownership interest in the business.
The latest issuance was made under Metal Bank’s existing employee incentive scheme arrangements. The company did not disclose further information about the structure of the plan or the specific circumstances behind the share issue.
